Muss das Anfechtungsrecht des Aktionärs angesichts seines großen Missbrauchspotenzials oder nach dem Aktionär-Anleger-Konzept abgeschafft werden? Diese Frage verneint der Autor, indem er zuerst aus der Entwicklungsgeschichte und geltenden Regelungen ableitet, dass die Beschlussmängelklage im deutschen Aktienrecht nicht nur dem individuellen Rechtsschutz, sondern auch der öffentlichen Rechtmäßigkeitskontrolle dient. Er erinnert auch daran, dass die Gefahr des Missbrauchs nach der Einführung des Spruchs- und Freigabeverfahrens nicht mehr so groß ist. Anschließend zeigt sich durch einen sorgfältigen Rechtsvergleich, dass gegenüber dem Reformvorschlag zur Abschaffung des Anfechtungsrechts ein verbessertes Verfahren für die Klageabweisung nach Interessenabwägung in Einzelfällen bevorzugt wird.
