Schon die Grundlagen des Vertragskonzernrechts sind in Rechtsprechung und Literatur umstritten. Deshalb, und um eine konsequente und interessensgerechte Lösung für Haftungsfragen anzubieten, befasst sich der Autor zunächst ausführlich mit den Grundlagen des Vertragskonzernrechts. Anschließend prüft er, welche Haftungssubstrate neben dem der ursprünglichen Schuldnerin im Fall einer Doppelinsolvenz im AG-Vertragskonzern für die Forderungen der Gläubiger einer Tochtergesellschaft haften. Schwerpunkt seiner Arbeit ist die Haftung der Organe, wenn sie trotz mangelnder Vollwertigkeit des Verlustausgleichsanspruchs (§ 302 AktG) den Beherrschungsvertrag weiterpraktizieren.
