Das Werk widmet sich dem Verhältnis zwischen dem europäischen Marktmissbrauchsrecht und dem bislang kaum harmonisierten Gesellschaftsrecht. Dabei werden die Auswirkungen der Pflicht zur Ad-hoc-Publizität auf die Wissenszurechnung einerseits und die aktienrechtliche Schweigepflicht andererseits beleuchtet.Einen Schwerpunkt der Untersuchung bildet daher auch die multiple Organmitgliedschaft, die zwangsläufig zu einem Wissensransfer zwischen den Gesellschaften führt. Durch die Zugehörigkeit zu den Organen verschiedener Emittenten können auch potenziell publizitätspflichtige Insiderinformationen in andere Unternehmenssphären hineingetragen werden.
