La Ley 1258 de 2008, no estableció una normativa propia o específica para la responsabilidad de los administradores de las Sociedades por Acciones Simplificadas. Sencillamente remitió al régimen general. Ello genera serie de cuestiones teóricas y empíricas complejas y altamente disputadas. ¿Cómo se exige la responsabilidad civil a los administradores aparentes o notorios, y a los ocultos o paralelos? ¿Cómo desempeñarán su cargo y con qué diligencia? ¿Debe considerarse actuación negligente la actitud desplegada por el administrador que no comprueba el grado de insolvencia de la contraparte a la hora de realizar un negocio jurídico y que acaba generando pérdidas para la sociedad? o qué decir igualmente del administrador que consciente y conocedor de la insolvencia, contrata sin embargo con un tercero en nombre de la sociedad, ¿está cumpliendo sus deberes fiduciarios y legales?, ¿qué consecuencias depara semejante actuar? mas ¿es diligente el administrador que no paga las deudas de la sociedad cuando consciente de las dificultades de ésta no lo advierte a los potenciales acreedores? La ley no lo responde, tampoco se establece el deber de informarse diligentemente de la marcha de la sociedad. Del mismo modo nada se dice sobre los requisitos subjetivos de quiénes serán y cómo administradores, como tampoco del estatuto de los administradores.
