Neben der Angebotsunterlage des Bieters ist die begründete Stellungnahme des Vorstands und des Aufsichtsrats der Zielgesellschaft für die Angebotsadressaten eines öffentlichen (Übernahme-)Angebots die zentrale Informationsquelle, um in Kenntnis der Sachlage über das Angebot entscheiden zu können. Wichtigster Bestandteil der begründeten Stellungnahme sind die verpflichtenden Ausführungen des Vorstands und des Aufsichtsrats der Zielgesellschaft zur Art und Höhe der angebotenen Gegenleistung. Die Arbeit untersucht auf praxisnahe Weise die rechtlichen Voraussetzungen an diesen Teil der begründeten Stellungnahme und analysiert zudem die Europarechtskonformität der derzeitigen Sanktionierung fehlerhafter Stellungnahmen. Zum einen schafft das Werk daher Sicherheit für die Rechtspraxis. Zum anderen zeigt es Möglichkeiten für künftige Reformen der Sanktionierung fehlerhafter Stellungnahmen auf.
