Das Buch analysiert die bisherigen gerichtlichen Entscheidungen zur Anfechtbarkeit von Entlastungs- und Wahlbeschlüssen infolge materiell unrichtiger Erklärungen zum Deutschen Corporate Governance Kodex und nimmt eine eigene Einordnung des Verstoßes gegen die Entsprechenserklärungspflicht gem. § 161 AktG in das aktienrechtliche Beschlussmängelsystem vor. Untersucht wird, inwieweit sich die bisherige Rechtsprechung auf andere Hauptversammlungsbeschlüsse übertragen lässt. Zudem werden sämtliche Empfehlungen des Kodex auf ihre Anfechtungsrelevanz hin geprüft. Die Autorin berücksichtigt das Problem sogenannter räuberischer Anfechtungsklagen und stellt verschiedene Möglichkeiten zur Reform von Kodex und Entsprechenserklärungspflicht vor.
