Esta obra explora as características jurídicas do processo de incorporação de ações, objeto de tese de doutoramento do autor. O estudo dessas características, com suas vicissitudes e defeitos, conduz a uma revisão do conceito jurídico de ação e, consequentemente, a uma revisão do regime jurídico do estado de sócio (status socii), que na empresa contemporânea se expressa em verdadeiro statuo viæ. Na análise das características jurídicas da incorporação de ações, identificaram-se operações de três naturezas distintas, que podem ser realizadas pelo mesmo instituto da incorporação de ações, variando o escopo e as características de controle das partes envolvidas. Juridicamente, o regime da responsabilidade dos administradores e da responsabilidade do controlador restam, consequentemente, afetados, segundo o tipo específico e as características próprias de cada operação. Da mesma forma, questões envolvendo oferta pública obrigatória, direito de voto e direitos de revisão e reavaliação na relação de troca restam igualmente afetados. Conclui-se que o compartilhamento de um regime único para operações distintas é algo que demanda novas reflexões com sugestões de reparos na lei.
